Legal

Terms of Use.

These Terms are the agreement between you and CSXII LTD, the company that makes Laurels. "We" and "us" mean CSXII LTD. By creating an account or using Laurels, you agree to them. If you don't agree, please don't use Laurels.

Our Privacy Notice explains what we collect and what we do with it. Read it alongside these Terms.

If you live in the United States, section 12 applies to you. It includes an agreement to resolve disputes by individual arbitration and a waiver of class actions and jury trials. You can opt out of arbitration within 30 days.

1. Who can use Laurels

You must be 18 or older. By creating an account, you confirm that you are. Your account is for you alone: you can't share it, sell it or use it for someone else.

2. What Laurels is

Laurels offers you Quests: things to do in the real world, chosen around a goal you set. You choose whether to take one on, you do it, and you record honestly what happened. What you record becomes your Chronicle, and you earn Laurels for what you do.

Your Laurels are a record of what you did. They are not a measure of you. They have no cash value and can't be bought, sold, transferred or exchanged for anything.

Nothing in Laurels is professional advice: not medical, mental-health, legal or financial. Laurels is not a crisis service. If you or someone else is in danger, call your local emergency number.

3. Quests, and your own judgment

Quests are written with the help of Laurels AI, which uses language models from another company (our Privacy Notice names it), and they are checked before you see them. They can still be wrong. A Quest might not fit your circumstances, might be unsafe where you are or at the time you choose, or might ask something you shouldn't do. We don't promise that any Quest is accurate, complete, safe, legal where you are, or suitable for you.

So use your own judgment. You decide whether to do a Quest, and when and how. You can turn down any Quest, and you should skip one that isn't safe or right for you, or stop partway if it stops being so. When you do a Quest, follow the law, respect other people and their property, and don't put yourself or anyone else at risk.

Quests can take you to places, businesses and services we don't run, and bring you into contact with other people. We are not responsible for them or for what they do.

To the extent the law allows, what you choose to do is your responsibility, and we are not liable for loss, injury or damage that results from doing a Quest. Sections 10 and 12 set out the limits on that.

4. Your account

You sign in with Apple, or another way the app offers. Keep your sign-in and your phone secure. To the extent the law allows, we are not liable for loss caused by someone using your account because your sign-in or phone was not kept secure. Tell us at hello@earnlaurels.com if you think someone else is using your account.

You can delete your account at any time in the app: Account, then Your data, then Delete your account. The Privacy Notice explains what deleting removes and what it keeps. Deleting your account does not cancel your subscription. Cancel it in the App Store (section 5).

5. Subscription and free trial

Laurels needs a subscription.

  • Apple sells it. You subscribe through the App Store, and Apple is the seller. Apple holds your payment details, and we never see them. Apple's terms also apply to your purchase.
  • Free trial. If you are eligible, your subscription starts with a 7-day free trial. Nothing is charged during it.
  • Payment and renewal. When the trial ends, or when you confirm if there is no trial, your Apple account is charged. Your subscription then renews automatically, monthly or yearly, unless you turn off auto-renew at least 24 hours before the current period ends. Apple charges for the renewal within the 24 hours before the period ends. The price and length of each plan are shown in the app before you subscribe. Prices differ by country and may include tax.
  • Cancelling. Cancel in your Apple account settings, under Subscriptions. Cancelling stops the next renewal, and you keep access until the end of the period you paid for. We don't give partial refunds for unused time, except where the law requires it.
  • Refunds are handled by Apple under its policies, at reportaproblem.apple.com; we can't issue them. Where the law of your country gives you a right to cancel and get your money back, that right still applies.
  • Price changes. If the price changes, Apple tells you before the new price applies, and you can cancel before then.
  • If your subscription ends, your Chronicle stays open and free to read. New Quests stop.

6. What you write and upload

What you write, say and upload in Laurels stays yours. That includes your goal, your records, your photos and your Chronicle. You give us permission to store, copy, back up and process it to run Laurels for you: to choose and write your Quests, to keep your Chronicle, to keep Laurels secure and prevent misuse, to meet our legal obligations, and to do the other things the Privacy Notice describes, including sending some of it to Laurels AI and our other service providers where the Privacy Notice says so. That permission ends when you delete the content or your account, except for what the Privacy Notice says we keep.

We don't show what you write or upload to anyone else, except as the Privacy Notice describes or the law requires. Only upload what you have the right to, and nothing illegal.

7. Using Laurels fairly

Please don't:

  • use Laurels if you are under 18, or on someone else's behalf;
  • use it to break the law, or to harm, harass or deceive anyone;
  • try to make Laurels AI write something harmful or misleading, for example through what you type into Laurels;
  • try to get into anyone else's account or data, or into our systems;
  • copy, scrape, resell or reverse-engineer the app or its Quests, except where the law allows it;
  • interfere with how Laurels works, or try to get around its limits or its safety checks.

We may suspend or close your account if you break these Terms in a serious way or more than once, if we reasonably believe you are under 18, if we reasonably suspect fraud or misuse or a risk to anyone's safety, or if the law requires it. Where we can, we'll tell you why first, unless that would be unlawful or would put someone at risk. If we close your account because you broke these Terms, you won't get a refund for time left, except where the law requires it.

You can stop using Laurels at any time.

8. Our part

Laurels, its name and logo, its design, and the Quests and other content we provide belong to us or to the people we license them from. We give you a personal, non-transferable license to use the app, as section 13 describes, for as long as you follow these Terms.

If you send us ideas or feedback, we may use them without owing you anything.

We work to keep Laurels running and safe, but we can't promise it will always be available or free of errors. We may change, add or remove features for a valid reason: a change in the law, security or safety, a technical need, or improving Laurels. If a change significantly reduces what you can do with Laurels, we'll tell you in advance, and you can cancel.

If we decide to close Laurels, we'll tell you at least 30 days ahead, unless the law or safety forces us to close sooner, and renewals will stop. If you paid for time after the closing date, you can ask Apple for a refund.

9. Changes to these Terms

We may change these Terms for a valid reason: a change in the law, security or safety, a change to Laurels, or to make them clearer. Small changes, and changes the law requires, take effect when we publish them. For a change that significantly affects you, we'll tell you in the app or by email at least 30 days before it takes effect. If you don't agree, you can cancel before then. If you keep using Laurels after a change takes effect, you accept it.

10. Our responsibility to you

What we are responsible for. If we break these Terms or fail to use reasonable care and skill, we are responsible for loss or damage you suffer that is a foreseeable result. Loss is foreseeable if it is obvious it will happen, or if we both knew it might happen when you agreed to these Terms. We are not responsible for loss that is not foreseeable.

What we are not responsible for, to the extent the law allows:

  • what you choose to do, including any Quest, and any loss, injury or damage that results;
  • places, businesses, services and people that Quests bring you into contact with;
  • business losses: Laurels is for personal use, so we are not responsible for lost profit, business, revenue or opportunity;
  • delays or failures caused by events outside our reasonable control, such as outages of Apple, our AI or hosting providers, internet failures, cyber attacks, or natural events. If one happens, we'll work to limit its effect.

What you are responsible for. If you break these Terms and that causes us a loss, you must repay the reasonable losses that directly result.

What nothing in these Terms limits. Our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law doesn't let us limit or exclude. Nothing in these Terms takes away your rights as a consumer under the law of the country where you live.

If you live in the United States, section 12 adds further limits.

11. Law and disputes

The law of England and Wales governs these Terms. The courts of England and Wales can hear disputes about them, but that doesn't stop you bringing a claim in the courts where you live. If you live in the UK or the EU, or anywhere else whose law gives consumers protections that can't be signed away, you keep those protections.

If something goes wrong, please write to us first at hello@earnlaurels.com so we can try to put it right.

If you live in the United States, section 12 says how disputes are resolved.

12. If you live in the United States

This section applies only if you live in the United States. Where it conflicts with another section, this section applies.

12.1 Arbitration and class-action waiver

PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Talk to us first. Before starting arbitration, you or we must send the other a written notice describing the dispute (to hello@earnlaurels.com, or to the email address on your account) and try to resolve it informally for 60 days.

Arbitration. Any dispute between you and CSXII LTD arising out of or relating to these Terms or Laurels will be resolved by binding individual arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, including its rules for mass arbitration where they apply. The Federal Arbitration Act governs this section. The arbitration can take place by video, by phone, on written submissions, or in the county where you live. Fees are paid as the AAA's consumer rules provide.

Exceptions. Either of us may bring an individual claim in small-claims court instead, and either of us may ask a court to stop the misuse of intellectual property.

NO CLASS ACTIONS AND NO JURY. YOU AND WE MAY BRING CLAIMS AGAINST EACH OTHER ONLY AS INDIVIDUALS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL. If this class-action waiver is found unenforceable for a claim, that claim will be decided in court, not in arbitration.

Opting out. You can opt out of this section 12.1 within 30 days of first accepting these Terms by emailing hello@earnlaurels.com with your name and the words "arbitration opt-out". Opting out doesn't change anything else in these Terms.

Changes. If we change this section 12.1, you can reject the change by emailing us within 30 days of it taking effect, and the version you last accepted will continue to apply.

12.2 Disclaimer

LAURELS IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT LAURELS WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY QUEST IS ACCURATE, SAFE, LEGAL WHERE YOU ARE, OR SUITABLE FOR YOU.

12.3 Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR LAURELS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS TOGETHER IS LIMITED TO THE GREATER OF WHAT YOU PAID FOR LAURELS IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $50. SOME STATES DO NOT ALLOW SOME OF THESE LIMITS, SO THEY MAY NOT ALL APPLY TO YOU.

12.4 Your own risk, and release

Quests happen in the real world, and the real world has risks. You take part in any Quest at your own risk. To the fullest extent the law allows, you accept the risks of any Quest you choose to do, and you release CSXII LTD and its officers, employees and agents from claims arising from it, except claims for our gross negligence or willful misconduct.

If you live in California, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

12.5 Indemnity

You will indemnify and hold harmless CSXII LTD and its officers, employees and agents against claims by anyone else, and the reasonable costs of them, arising from your breach of these Terms, your breaking the law or someone else's rights, or what you do while doing a Quest, except to the extent the claim was caused by us.

12.6 Time to bring a claim

To the extent the law allows, any claim must be started within one year after it arose, or it is barred.

13. Apple

These apply because you got Laurels from the App Store.

  • These Terms are between you and CSXII LTD, not Apple. We, not Apple, are responsible for Laurels and its content.
  • Your license lets you use Laurels on Apple devices you own or control, as the Usage Rules in Apple's Media Services Terms and Conditions allow. Other accounts in your Family Sharing group may use it where Apple's rules allow. If these Terms conflict with those Usage Rules, the Usage Rules apply.
  • Apple has no duty to provide maintenance or support for Laurels.
  • If Laurels fails to meet a warranty that applies to it, you may tell Apple, and Apple will refund what you paid for it, if anything. To the extent the law allows, Apple has no other warranty obligation for Laurels.
  • We, not Apple, are responsible for handling any claim about Laurels or your use of it. That includes product liability claims, claims that it fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
  • If anyone claims that Laurels or your use of it infringes their intellectual property, we, not Apple, are responsible for investigating, defending, settling and resolving that claim.
  • You confirm that you are not in a country subject to a US Government embargo, or designated by the US Government as a "terrorist supporting" country, and that you are not on any US Government list of prohibited or restricted parties.
  • When you use Laurels, you must follow the terms of any other service you use with it, such as your mobile network's.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept them, Apple may enforce them against you.

14. General

  • If part of these Terms can't be enforced, it is changed as little as needed to make it enforceable, or removed if that isn't possible, and the rest stays in force.
  • These Terms and the Privacy Notice are the whole agreement between you and us about Laurels, and replace anything said before. This doesn't limit liability for fraud or misleading statements.
  • We may transfer these Terms to a company that takes over Laurels. Your rights won't be reduced, and we'll tell you. You may not transfer your rights or your account.
  • If we don't enforce a term straight away, we can still enforce it later.
  • Sections that by their nature should last after your account closes do, including sections 6, 10, 11, 12 and 14.
  • We may send you notices in the app or by email.
  • Only you, we and Apple (section 13) have rights under these Terms. No one else can enforce them.
